Our 7-Step Process

From decision to deal

  • Following the initial consultation, you'll make the decision to proceed or not. Choosing to act entails enlisting our services to advocate for your interests and identify suitable parties for your business. You'll determine your priorities: pure financial gain, continuity of your established business, the well-being of dedicated staff, retirement and embarking on a new chapter. This decision is seldom straightforward, but we'll outline the parameters, prepare necessary documentation, and offer insights into what's feasible or might pose constraints on a potential deal.

  • The Engagement stage represents a pivotal moment in our collaboration, as it denotes the formal signing of documentation. It symbolises our shared commitment to advancing to the next phase: the detailed preparation stage. This stage serves as a crucial bridge between initial discussions and the concrete actions that will propel our partnership forward. It's a time for both parties to affirm their dedication to the process ahead and to solidify our shared vision for achieving your goals. By formalizing our agreement at this juncture, we lay the groundwork for a productive and successful journey together.

  • The Preparation stage stands out as arguably the most crucial phase of our process. Here, we embark on a discreet exploration of your business, meticulously extracting all essential details that will substantiate our valuation expectations. Once we're confident that we've gathered all pertinent information, we meticulously craft the documentation – comprising the business summary and the comprehensive information memorandum – in anticipation of presenting them to potential acquirers. Recognizing the pivotal role these documents play in the buyer's assessment of acquisition viability, we hold ourselves to the highest standards. Unlike conventional approaches that merely input data into standardised templates, we take pride in curating a sophisticated suite of top-tier information. Our documentation not only exudes elegance but also withstands rigorous scrutiny from discerning buyers, ensuring that your business is presented in the most compelling light possible.

  • Whilst the documentation is being prepared, we work behind the scenes to establish a profile of potential buyers. We will use our existing database of contacts and call upon all of our collective knowledge and experience to generate two target lists. The first list will be between 5 – 10 targets which we believe are most likely to be interested. The second list will be all of the targets we have found in excess of list one which will be contacted should the first list prove unsuccessful.

  • Once we've received several offers and are satisfied that negotiations have yielded the desired results, we transition to crafting detailed heads of terms and offer/acceptance documentation. We emphasise investing ample time in meticulously preparing and negotiating the heads of terms, aiming to incorporate as much detail as possible. This proactive approach not only streamlines the final SPA (Sale and Purchase Agreement) completion process but also minimises additional time and associated legal fees. By laying a comprehensive foundation during this phase, we aim to facilitate a smoother and more efficient transition towards the ultimate completion of the agreement.

  • Drawing upon our extensive experience in due diligence, we adopt a proactive approach by meticulously reviewing due diligence checklists and preemptively preparing a fully equipped online data room well in advance of the buyer's information requests. This strategic preparation allows us to present a professional, high-integrity proposition, alleviating frontline stress for vendors. By proactively addressing potential inquiries and organising information in advance, we aim to streamline the due diligence process, ensuring a smooth and efficient transaction for all parties involved.
